Welcome to the "Bulk Price Editor & Promotions Scheduler" application (the "App"), provided by Bulk Price Editor & Promotions Scheduler ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the App. By installing or using the App, you agree to be bound by these Terms.

1. Use of the App

The App is designed to help you manage and automate your product prices and promotions on your BigCommerce store. You agree to use the App only in accordance with these Terms and all applicable laws and regulations.

You are responsible for maintaining the confidentiality of your BigCommerce account information and for all activities that occur under your account.

2. Intellectual Property Rights

The App and its original content, features, and functionality are and will remain the exclusive property of Bulk Price Editor & Promotions Scheduler and its licensors.

3. Subscriptions and Payment

You may cancel your subscription at any time, but all fees are non-refundable. Under no circumstance will Expert Ecommerce provide a refund to the Customers.

4. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read our Privacy Policy carefully to understand how we collect, use, and disclose your information.

5. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

6. Disclaimer of Warranties

The App is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the operation of the App or the information, content, or materials included therein.

7. Limitation of Liability

In no event shall Bulk Price Editor & Promotions Scheduler, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the App ; (ii) any conduct or content of any third party on the App ; (iii) any content obtained from the App ; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

8. Indemnification

You agree to defend, indemnify, and hold harmless Bulk Price Editor & Promotions Scheduler and its licensees and licensors, and their respective employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from a) your use and access of the App, by you or any person using your account and password; b) a breach of these Terms; or c) a violation of any applicable law or regulation.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of USA, without regard to its conflict of law provisions.

11. Entire Agreement

These Terms constitute the entire agreement between us regarding our App and supersede and replace any prior agreements, oral or otherwise, regarding the App.
